Terms & Conditions
The exhibitors applying for stalls at any edition of The Haat of Art / The Art Grandeur agree to observe and abide by the Terms and Conditions of Participation mentioned below.
The Organiser reserves the right to modify, change, amend or issue new terms, conditions and rules relating to participation, promotion, facilities and benefits at The Haat of Art / The Art Grandeur exhibitions, including any edition thereof, at any point in time, subject to applicable law.
1. Purpose of the Exhibition
The exhibition is primarily a platform for showcasing artworks, promoting artists and galleries, creating visibility, and connecting participating artists and galleries with art lovers, buyers, collectors, institutions and industry professionals.
The Organiser does not guarantee any sale, minimum footfall, business enquiry, media coverage, buyer response or commercial return from participation.
2. Exhibition Expenses
The participation fee is utilised towards the overall execution, infrastructure, management and promotion of the exhibition.
The Organiser's approximate fixed-cost structure may include:
- Venue
- Fabrication & Exhibition Infrastructure
- Operations & Management
- Online Marketing
- Publicity & Promotion
- Celebrity / Guest Engagement
These expenses are incurred to create, operate and promote the exhibition platform and shall not be considered a guarantee of individual sales, enquiries or commercial returns.
3. No Guarantee of Sales or Footfall
The Participant understands that the art market is market-driven and that the success of an artwork may depend on several factors, including but not limited to:
- Artist's profile and reputation
- Authenticity and quality of artwork
- Artwork pricing and valuation
- Education and experience
- Previous sales and market performance
- Testimonials and awards
- Social media presence
- Overall market positioning
- Collector and buyer preferences
Accordingly, the Organiser makes no guarantee regarding footfall, sales, leads, buyers, collectors, institutional enquiries or financial returns.
Participation is therefore made at the Participant's own commercial discretion, assessment, risk and expectation.
4. Organiser's Commitment
The Organiser shall make reasonable and sincere efforts, based on its industry experience, venue, promotional activities, location, exhibition format and previous editions, to create a suitable platform and provide maximum possible visibility to participating artists and galleries.
However, the Organiser shall not be responsible for factors, circumstances, market conditions, visitor behaviour or other events beyond its reasonable control.
5. Artwork & Information
The Participant shall be solely responsible for the following:
- Authenticity and ownership of artworks
- Quality and condition of artworks
- Pricing and valuation
- Certificates and documentation
- Artist profile and information supplied to the Organiser
- Copyright, trademark and intellectual-property rights
- Safe delivery and collection of artworks, unless separately agreed in writing
Any false, misleading, inaccurate or unauthorised information supplied by the Participant shall remain the sole responsibility of the Participant.
6. Artwork Display & Storage
Only paintings may be displayed on wall panels.
Other artworks must not be placed directly on floors or tabletops, except within designated display or storage enclosures approved by the Organiser.
The Organiser will not provide storage facilities unless expressly communicated or agreed in writing.
7. Stall Attendants
The maximum number of attendants permitted shall be as follows:
- 9 sq. m. stall: Maximum 2 attendants
- 18 sq. m. stall: Maximum 4 attendants
- 27 sq. m. stall: Maximum 6 attendants
- Larger stalls: Proportionately as determined by the Organiser
Gallery Directors, Managers, Artists, representatives and other persons occupying or attending the stall shall be included within the applicable attendant limit.
8. Stall Allocation & Changes
The Organiser may change stall locations, layouts, timings, programmes, facilities or other arrangements due to venue, safety, operational, regulatory, government or other circumstances beyond its reasonable control.
Such changes shall not automatically entitle the Participant to any refund, compensation or other claim against the Organiser.
9. GST, Sales & Copyright
Exhibitors making counter sales must obtain and submit the applicable Casual GST Registration for the respective state before the Exhibition, wherever required.
12% GST shall apply to artwork sales as applicable under the stated exhibition policy.
Exhibitors must ensure that they possess all necessary copyright, ownership, reproduction and sale rights for all artworks displayed or sold at the exhibition.
The Organiser shall not be responsible for copyright, ownership, licensing, tax, sale or other disputes arising between an exhibitor and any third party.
10. Exhibitor Responsibility
The Participant is solely responsible for its artworks, representatives, employees, applicable licences, approvals, intellectual property, pricing, claims and commitments made to visitors, buyers, collectors, institutions or business partners.
The Organiser shall not be responsible for commercial disputes between the Participant and any customer, buyer, partner, visitor or other third party.
11. Transport, Insurance & Security
Exhibitors shall bear all costs, responsibilities and risks related to the transportation, delivery, display and removal of artworks and exhibition materials.
Exhibitors are responsible for appropriately insuring their artworks, equipment, materials and belongings against loss, theft, damage, fire and other applicable risks.
The Organiser shall not be liable for any loss, theft, destruction or damage to artworks, equipment, materials or personal belongings.
Exhibitors may use the Organiser's appointed freight agent or any other freight/logistics agent at their own discretion and risk.
12. Professional Conduct
The Participant agrees to maintain professional, respectful and dignified conduct throughout the exhibition.
Any abusive behaviour, deliberate disruption, intimidation, misconduct, public nuisance, damage to the reputation of the exhibition, or action intended to create disorder or negatively affect the Organiser, Venue, partners, sponsors, artists or other participants shall be treated as a material breach of these Terms & Conditions.
The Organiser reserves the right to take appropriate action, including removal of the Participant or its representatives from the exhibition, without refund, subject to applicable law.
13. Public Statements & Reputation
No Participant shall intentionally make or circulate false, defamatory, misleading or malicious statements concerning the Organiser, exhibition, venue, partners, sponsors, team members, artists or other participants.
Any legitimate grievance should first be communicated to the Organiser through the official communication channel so that the matter can be reviewed and, where appropriate, resolved professionally.
Nothing in this clause prevents a Participant from making a genuine complaint or exercising any lawful right available to them.
14. Health & Safety
All exhibitors and Participants must comply with applicable health, fire, safety and venue regulations, including the Exhibitor Manual and instructions issued by the Organiser and/or Venue.
The Organiser may conduct safety checks and require the removal, modification or discontinuation of any exhibit, installation, display or artwork that does not meet the prescribed requirements.
15. Cancellation & Refund
Once the booking is confirmed and the participation fee has been paid, cancellation and refund shall be governed by the cancellation and refund policy communicated by the Organiser at the time of booking.
The Participant acknowledges that cancellation may be subject to applicable cancellation charges and conditions communicated by the Organiser.
The Organiser shall not be liable for loss of expected sales, business opportunities, travel expenses, accommodation expenses, marketing expenses or any other consequential or indirect losses arising from cancellation, postponement or non-participation.
16. Advertising & Promotion
Advertising, promotional activities and distribution of marketing materials shall be permitted only within the allocated stall or in areas specifically designated or approved by the Organiser.
Unauthorised branding, signage, promotional material or distribution outside the permitted area may be removed by the Organiser without prior notice.
17. Display Restrictions
- Exhibits must not obstruct aisles, entrances, exits or visitor movement.
- Exhibits must not create a safety hazard or interfere with neighbouring stalls.
- Exhibitors must not place materials outside the allocated stall area without prior approval.
- Any display that violates venue or Organiser requirements may be removed or modified as directed by the Organiser.
18. Use of Name, Logo & Intellectual Property
The Participant permits the Organiser to use its name, logo, artist profile, gallery information and participation details in exhibitor directories, event listings, websites, social media, publicity and promotional materials relating to The Haat of Art / The Art Grandeur.
The Participant shall not use the name, logo, trademarks or other intellectual property of the Organiser, The Haat of Art or The Art Grandeur for marketing, advertising, endorsement or other purposes without prior written permission.
19. Exhibitor Listing & Promotional Materials
The Participant authorises the Organiser to include its name, business details, artist details, gallery information, logo and other relevant information in exhibition directories, websites, social media, promotional materials and other event-related communication.
The Organiser shall not be responsible for inadvertent errors, omissions, typographical mistakes or inaccuracies in information supplied by or relating to the Participant.
20. Transfer & Subletting
The Participant shall not transfer, assign, share, resell or sublet the whole or any part of the allocated stall or participation rights without prior written approval from the Organiser.
Any unauthorised transfer or subletting may result in cancellation of participation and forfeiture of amounts paid, subject to applicable law.
21. Organiser's Right to Reassign Exhibition Space
If the Participant fails to comply with any provisions contained in these Terms & Conditions, rules or regulations concerning the use of exhibition space, the Organiser reserves the right, subject to applicable law, to reassign the booth/stall location, take possession of the allocated space or otherwise deal with the space as may be necessary for the proper conduct of the exhibition.
Such action shall not automatically create any right to refund or compensation where the Participant is in breach of the applicable rules.
22. Facilities & Services
Facilities such as lighting, fabrication, branding, internet, housekeeping, security, technical services and promotional support may vary depending upon the venue, exhibition format, stall category and applicable venue policies.
The Organiser reserves the right to add, modify, restrict or remove facilities or services based on venue requirements, availability, safety, operational requirements or other circumstances.
23. Maintenance, Repairs & Alterations
The Organiser and/or Venue may carry out repairs, maintenance, alterations or modifications to exhibition infrastructure, stall arrangements or event areas whenever considered necessary for safety, technical, operational or venue requirements.
Participants shall comply with such directions and shall not interfere with or obstruct such work.
24. Cancellation, Postponement & Unforeseen Circumstances
In the event that an exhibition is cancelled, postponed, suspended or materially affected due to circumstances beyond the Organiser's reasonable control, including natural calamities, severe weather, fire, pandemic, government restrictions, venue issues, public emergency or other unforeseen circumstances, the Organiser may reschedule or modify the exhibition arrangements.
Any applicable refund shall be governed by the cancellation and refund policy communicated by the Organiser and may take into account expenses already incurred, venue commitments, operational costs and other financial obligations relating to the exhibition, subject to applicable law.
The Organiser shall not be liable for travel, accommodation, staffing, transportation, independent marketing expenditure, loss of profit, expected business or other consequential losses arising from such circumstances.
25. Communication
Only written communication or email issued by an authorised representative of the Organiser shall be considered valid for official matters relating to participation, booking, cancellation, approvals, amendments or other contractual matters.
Verbal commitments or assurances that are not confirmed in writing by an authorised representative shall not be considered binding on the Organiser.
26. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.
All disputes arising out of or in connection with participation in The Haat of Art / The Art Grandeur shall be subject to the jurisdiction of the competent courts in Mumbai, Maharashtra, India.
Acceptance
By signing the application/booking form and/or making payment for participation, the Participant confirms that they have read, understood and accepted the Terms & Conditions stated herein.
The Participant acknowledges that The Haat of Art / The Art Grandeur is a showcase, networking and promotional platform and not a guaranteed-sales event.
Participation is therefore based on the Participant's own independent commercial decision, assessment, risk and expectations.
The Participant further confirms that all information provided to the Organiser is true, accurate and complete and agrees to comply with all applicable rules, regulations and instructions issued by the Organiser and Venue.
